Zymeworks is seeking a dynamic, progressive, and process-focused Equity Administration Manager who is looking to grow their/her/his career with our company.

This position will report to Director, Total Rewards and will be located in either Seattle, WA or Vancouver, BC. or Remote (w/ periodic travel to ZW office locations) in existing ZW local employment jurisdiction.

Key Responsibilities

We are looking for a hands-on Equity Administration Manager who will be responsible for the accurate and effective administration of our global equity plans, including SOX compliance in accordance with Zymeworks policies and governing rules and regulations. Our equity plans include stock options, restricted stock units (“RSUs”), and an employee stock purchase plan (“ESPP”).

We’re focused on finding an equity professional who is continuous improvement-minded: the ideal candidate has successful experience with designing and implementing equity administration process improvements with fast-growing companies and environments and knows how to responsibly and effectively scale. This is an individual contributor role and one that manages a critical program within Zymeworks Total Rewards team.

We also want someone who is passionate about creating and delivering effective equity education to our Zymers as part of building the Total Rewards value proposition for our team members, including our company-issued equity and our attractive Employee Stock Purchase Plan (ESPP) benefit.

Here’s a bit more on typical work activities in a given year:

  • Manage the effective and accurate administration of Zymeworks’ equity programs and ensure that all equity transactions are accurately processed and settled within established timeframes including cross-border tax calculations with an external third-party tax advisor

– New Hire Grant process
– Employee Stock Purchase Plan (ESPP)

  • Maintain equity award administration software system to ensure complete and accurate tracking of equity awards, records, share usage, and reporting; work directly with the software vendor, as required; and provide training to employees on how to access and use the software tool to process transactions.
  • Process all equity award-related activities including stock option grants, cancellations, and exercises; RSU releases; and ESPP in Shareworks and coordinating with internal stakeholders and partners (eg People Team, Payroll, Tax, Legal, Finance, etc)
  • Reconciling equity award activity on a monthly basis and coordinating with internal stakeholders (eg Finance, Payroll, Legal, Zymeworks team members)
  • Manage the Annual and New Hire equity grant documentation for approval, process new equity grants, and work with 3rd party vendor to ensure correct distribution of online grant agreements and subsequent grant acceptance tracking
  • Complete appropriate analysis and modeling as it pertains to Board of Director/Compensation Committee meetings, internal or external audit requests, annual global payroll reporting obligations, and/or cross-functional requests
  • Provide excellent customer service to equity participants at all levels and respond promptly to Zymeworks team member questions and requests in a helpful and productive way
  • Design and deliver effective employee equity education and communications so that Zymers fully understand how equity works and how it complements our Total Rewards value proposition
  • Productively assess existing process to design and implement value-add process improvements to ensure continued compliance and accuracy as well as effectively scale
  • Partner with Legal, Payroll, and Finance on preparing equity-related data for internal and external reporting requirements, including proxy statement, annual report (10-K), quarterly report (10-Q), Section 16 insider filings, and year-end payroll tax related CRA and IRS forms relating to equity awards
  • Partner with Finance & Accounting with processing of stock option exercises, Rule 10b5-1 trading plan transactions and RSU releases, ensuring accurate and timely tax withholding and reporting in compliance with governing rules and regulations, SOX controls, stock plan documentation, and Zymeworks policies
  • Complete scheduled and ad-hoc global reporting to meet internal and external compliance requirements including, but not limited, to analysis of country reporting obligations, partnering with Payroll on 6039 ISO reporting, and other payroll reporting
  • Assist with annual external auditor walkthrough preparation and completion

Qualifications and Education

  • At least 5 years of progressive experience supporting equity administration activities; preferred candidates have meaningful competency in managing equity activities for Canada-based and US-based recipients
  • CEP designation helpful
  • Multi-cycle experience with stock administration software required; experience with Shareworks by Morgan Stanley software (formally Solium) preferred
  • An equivalent combination of education and experience may be considered.
